Terms of Service

1. Acceptance of Agreement
These Terms of Service ("Terms") constitute a binding agreement between You ("Client") and Hypera Teknoloji San. Tic. A.Ş. ("Provider"). By installing our hardware or accessing our SaaS Dashboard, you agree to these Terms.
2. Services Description
Hypera provides a Platform-as-a-Service (PaaS) solution comprising:
- Edge Hardware: Local processing units and sensors provided on a subscription, lease, or purchase basis.
- Hypera Cloud Platform: Web-based analytics dashboard and API.
- AI Core: Proprietary Vision-Language reasoning models.
3. Client Obligations
- Lawful Use & Signage: Client agrees to use the Services in compliance with all local surveillance and labor laws. Client is solely responsible for posting visible signage (e.g., "This area is monitored by AI analytics") to inform staff and patrons.
- Infrastructure: Client must provide stable power and local network connectivity for the Edge Hardware.
- Prohibited Actions: Client shall not (a) reverse engineer or decompile the hardware or software; (b) attempt to extract the proprietary VLP models; or (c) resell the Service without written consent.
4. Intellectual Property
- Provider Rights: Hypera retains all ownership of the Service, including the "Vision Language Prediction" architecture, source code, and algorithms inside the hardware, regardless of whether the hardware is leased or purchased.
- Client License: Client grants Hypera a perpetual, royalty-free license to use anonymized operational metadata to improve the AI models and system accuracy.
5. Hardware Terms
- Technology Ownership: In all cases (Lease or Purchase), the technology, software, and AI models embedded within the hardware remain the exclusive intellectual property of Hypera.
- Risk of Loss: Client assumes the risk of loss or damage to the Hardware while it is installed at Client’s premises.
- Return (Lease Only): Upon termination of a subscription where hardware was leased, Client must return all leased Hardware within 14 days.
6. Warranty Disclaimer
- "As Is" Basis: The Service is provided "As Is." While we strive for high accuracy (e.g., >90% for queue detection), we do not guarantee 100% error-free detection due to environmental variables.
- Advisory Nature: The Service provides insights and alerts. It does not replace human management. Hypera is not liable for operational decisions (e.g., staffing changes, security responses) made based on System outputs.
7. Limitation of Liability
To the maximum extent permitted by law, Hypera shall not be liable for indirect, incidental, or consequential damages (including loss of profits or business interruption) arising from the use of the Service.
8. Term & Termination
- Term: Defined in your specific Order Form (e.g., 12, 24, or 36 months).
- Termination for Cause: Either party may terminate immediately for material breach if not cured within 30 days.
9. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the Republic of Turkey. Any disputes arising hereunder shall be resolved exclusively by the Ankara Courts and Enforcement Offices.
10. Modifications
We may update these Terms periodically. Continued use of the Service after notification constitutes acceptance of the changes.
